This can be communicated via mail or delivered in person to the company\u2019s registered address.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"filing-dir-11\">Filing DIR-11<\/h3>\n\n\n\n<p>Within 30 days of the acceptance of their resignation, the director must file <a href=\"https:\/\/www.mca.gov.in\/content\/mca\/global\/en\/mca\/e-filing\/din-related-forms\/form-dir11\/jcr:content\/root\/responsivegrid\/aemform.iframe.html?dataRef=&amp;wcmmode=DISABLED\" target=\"_blank\" rel=\"noopener\">Form DIR-11,<\/a> which includes:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The resignation letter<\/li>\n\n\n\n<li>A copy of the proof of dispatch<\/li>\n\n\n\n<li>An acknowledgment letter from the company<\/li>\n\n\n\n<li>Any other documents if requested<\/li>\n\n\n\n<li>Additionally, a fee of \u20b9400 is required for filing DIR-11.<\/li>\n<\/ol>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"effective-date-of-resignation\">Effective Date of Resignation<\/h3>\n\n\n\n<p>The effective date of the resignation can be the date mentioned in the resignation letter or the date specified in the notice. It may also coincide with the date of cessation as filed in the DIR-12 form, whichever is later.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"obligations-of-the-company\">Obligations of the Company<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"board-meeting-1\">Board Meeting<\/h3>\n\n\n\n<p>The board of directors must convene a meeting to discuss and accept the resignation of the director.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"resolution-and-minutes\">Resolution and Minutes<\/h3>\n\n\n\n<p>Following the discussion, the board must pass a resolution accepting the resignation. It is also mandatory to draft the minutes of the meeting to document this decision.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"filing-dir-12\">Filing DIR-12<\/h3>\n\n\n\n<p>The company is required to file <a href=\"https:\/\/www.mca.gov.in\/content\/mca\/global\/en\/mca\/e-filing\/din-related-forms\/form-dir12\/jcr:content\/root\/responsivegrid\/aemform.iframe.html?dataRef=&amp;wcmmode=DISABLED\" target=\"_blank\" rel=\"noopener\">Form DIR-12 <\/a>with the Registrar of Companies (RoC) within 30 days of accepting the resignation. The filing must include:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The resignation letter<\/li>\n\n\n\n<li>The board resolution or acceptance letter&nbsp;&nbsp;<\/li>\n\n\n\n<li>The prescribed fee for filing DIR-12 is \u20b9300.<\/li>\n<\/ol>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"disclosure-requirements\">Disclosure Requirements<\/h3>\n\n\n\n<p>The resignation must be disclosed in the director\u2019s report during the next annual general meeting.
